Dick’s INTERGALACTIC CARGO KRATES SALVAGE

Article I: Name and Purpose

Section 1: Name
The official name of the organization shall be “Dicks INTERGALACTIC CARGO KRATES SALVAGE,” hereafter referred to as “the Company.”

Section 2: Purpose
The purpose of the Company is to provide intergalactic salvage and cargo services, including but not limited to the recovery of lost cargo, the rescue of stranded vessels and personnel, and the reclamation of valuable materials from derelict space structures. The Company is dedicated to upholding principles of adventure, courage, community, integrity, and innovation.

Article II: Headquarters and Operations

Section 1: Headquarters
The primary headquarters of the Company shall be located on Space Station Alpha, orbiting the planet Zeta-9 in the Andromeda Galaxy.

Section 2: Operational Scope
The Company shall operate throughout the known universe, with no limitation on the sectors, systems, or regions it may serve.

Article III: Governance and Leadership

Section 1: Board of Directors
The Company shall be governed by a Board of Directors consisting of a minimum of five (5) and a maximum of nine (9) members. The Board shall be responsible for major policy decisions, strategic direction, and oversight of executive management.

Section 2: Executive Officers
The executive management of the Company shall include, but not be limited to, the following positions:
- Chief Executive Officer (CEO)
- Chief Operations Officer (COO)
- Chief Financial Officer (CFO)
- Chief Technology Officer (CTO)
- Chief Salvage Officer (CSO)

The CEO shall be the primary executive responsible for the overall operations and strategic direction of the Company.

Section 3: Crew Members
The crew of the Company shall consist of specialized roles, including salvagers, engineers, navigators, security personnel, and support staff. All crew members must adhere to the Company’s code of conduct and safety protocols.

Article IV: Membership and Employment

Section 1: Membership
Membership in the Company is open to all individuals who demonstrate the skills, values, and dedication required for intergalactic salvage operations. Membership applications shall be reviewed and approved by the Board of Directors.

Section 2: Employment
Employment within the Company shall be based on qualifications, experience, and alignment with the Company’s core principles. All employees shall receive training, fair compensation, and benefits in accordance with Company policies.

Article VII: Financial Management

Section 1: Financial Oversight
The CFO shall oversee all financial matters of the Company, including budgeting, accounting, and financial reporting. The Board of Directors shall review and approve annual budgets and financial statements.

Section 2: Revenue and Profit Sharing
Revenue generated from salvage operations shall be used to cover operational expenses, with profits distributed according to a predetermined profit-sharing scheme benefiting all crew members.

Section 3: Fund Allocation
Funds shall be allocated for research and development, crew training, asset acquisition, and other activities that support the Company’s mission and growth.

Article VIII: Amendments

Section 1: Amendment Process
This Charter may be amended by a two-thirds (2/3) majority vote of the Board of Directors. Proposed amendments must be submitted in writing and distributed to all board members at least thirty (30) days prior to the vote.

Article IX: Dissolution

Section 1: Dissolution Procedure
In the event of dissolution, the Board of Directors shall oversee the liquidation of assets and settlement of liabilities. Any remaining assets shall be distributed to members and employees in accordance with their contributions and shares.

Section 2: Continuity of Operations
Efforts shall be made to ensure the continuity of critical operations and the well-being of crew members during the dissolution process.

Ratification

This Charter is hereby ratified by the founding members of Dicks INTERGALACTIC CARGO KRATES SALVAGE on this day, the 1st of March, 2019.
