In the far reaches of the Stanton System, where stars shimmered like diamonds scattered across an endless black canvas, a small but renowned company operated from a dilapidated space station orbiting ArcCorp. The name, emblazoned in flickering neon lights, was “Dicks INTERGALACTIC CARGO KRATES SALVAGE,” and it was the last hope for many a stranded ships and lost cargo.

The company was founded by Captain Richard “Dick” Stellar, a grizzled old spacefarer with a heart of gold and a knack for finding treasure in the most unexpected places. Dick’s crew was a ragtag band of misfits and adventurers, each with a story as unique as the cargo they salvaged.

Charter

Dick’s INTERGALACTIC CARGO KRATES SALVAGE

Article I: Name and Purpose

Section 1: Name
The official name of the organization shall be “Dicks INTERGALACTIC CARGO KRATES SALVAGE,” hereafter referred to as “the Company.”

Section 2: Purpose
The purpose of the Company is to provide intergalactic salvage and cargo services, including but not limited to the recovery of lost cargo, the rescue of stranded vessels and personnel, and the reclamation of valuable materials from derelict space structures. The Company is dedicated to upholding principles of adventure, courage, community, integrity, and innovation.

Article II: Headquarters and Operations

Section 1: Headquarters
The primary headquarters of the Company shall be located on Space Station Alpha, orbiting the planet Zeta-9 in the Andromeda Galaxy.

Section 2: Operational Scope
The Company shall operate throughout the known universe, with no limitation on the sectors, systems, or regions it may serve.

Article III: Governance and Leadership

Section 1: Board of Directors
The Company shall be governed by a Board of Directors consisting of a minimum of five (5) and a maximum of nine (9) members. The Board shall be responsible for major policy decisions, strategic direction, and oversight of executive management.

Section 2: Executive Officers
The executive management of the Company shall include, but not be limited to, the following positions:
- Chief Executive Officer (CEO)
- Chief Operations Officer (COO)
- Chief Financial Officer (CFO)

This Charter may be amended by a two-thirds (2/3) majority vote of the Board of Directors. Proposed amendments must be submitted in writing and distributed to all board members at least thirty (30) days prior to the vote.

Article IX: Dissolution

Section 1: Dissolution Procedure
In the event of dissolution, the Board of Directors shall oversee the liquidation of assets and settlement of liabilities. Any remaining assets shall be distributed to members and employees in accordance with their contributions and shares.

Section 2: Continuity of Operations
Efforts shall be made to ensure the continuity of critical operations and the well-being of crew members during the dissolution process.

Ratification

This Charter is hereby ratified by the founding members of Dicks INTERGALACTIC CARGO KRATES SALVAGE on this day, the 1st of March, 2019.
