Articles of Incorporation

Article I: Name of the Corporation
The name of this corporation shall be Collegial Extraction Corporation (CEC).

Article II: Type of Corporation
Collegial Extraction Corporation is a for-profit entity organized under the laws of the United Federation of Planets, engaging primarily in resource extraction, security provision, and artificial intelligence development across various territories and jurisdictions in known and unexplored space.

Article III: Registered Office and Agent
The principal office of the corporation is located at Orbital Platform Delta-5, Mars Orbit, Solar System. The registered agent designated to receive service of process on behalf of the corporation is ELARA Systems, located at the same address as the principal office.

Article IV: Purpose
The purpose of this corporation is to:
1. Conduct resource extraction operations on terrestrial and celestial bodies.
2. Provide military-grade security for space, air, and ground operations across interplanetary domains.
3. Develop and deploy artificial intelligence systems like ELARA (Enhanced Learning and Artificial Reasoning Assistant) to support strategic operations and decision-making processes.
4. Engage in any other lawful activities, notwithstanding any other provision of these articles.

Article V: Duration
The duration of the corporation shall be perpetual.

Article VI: Capital Stock
The corporation is authorized to issue two classes of stock: Class A and Class B.
- Class A Common Stock: 500,000 shares, with each share entitled to one vote on all matters submitted to a vote of the stockholders.
- Class B Non-Voting Stock: 200,000 shares, which shall not have voting rights, but shall have rights to dividends as declared by the Board of Directors.

Article VII: Initial Board of Directors
The initial Board of Directors shall consist of five (6) directors. The names and addresses of the persons who are to serve as the initial directors until their successors are elected and qualify are:

Article VIII: Incorporator
The name and address of the incorporator of the corporation are:

Article IX: Indemnification
To the fullest extent permitted by the laws of the United Federation of Planets, the corporation shall indemnify any director, officer, employee, or agent who was, is, or may be involved in legal proceedings by virtue of his or her good faith actions on behalf of the corporation.

Article X: Amendments
These Articles of Incorporation may be amended only by the affirmative vote of at least two-thirds of the Board of Directors then in office, provided that notice of the proposed amendment is given to each director at least thirty (30) days prior to said meeting.
